I posted this yesterday morning (UK time) but after 5 hours or so, pennystocks deleted the original post. A few people messaged me asking for it to be shared in a few High Tide specific pages. So here it is!

This is my first time posting a DD post – a friend of mine who moderates on SPACs has shared some analysis I have written previously, but I’m keen to share this here, and see if there is any appetite for sharing my own personal written DD I have on the 30 stocks I have across a number of different portfolios.

Some of the market stats (market cap, current multiples, etc.) are correct as of Feb-06, and clearly a little outdated since the price movements.
Not a financial advisor, do your own DD. I am long HITI and have an expectation of a long term hold on this stock.
Overview
  • High Tide Canada-based cannabis retail company, operating under multiple brands. It operates under 3 core divisions:
  1. Brick and mortar retail – 4 key brands with just under 70 locations in Canada. Brands include: Canna Cabana, New Leaf, Meta Cannabis and Kushbar. Forecast to have around 115 stores by end of 2021
  2. Online retail – has 2 brands, both of which attract millions of viewers per month – Grasscity.com and CBDcity.com
  3. Wholesale – manufacturer of paraphernalia in US and Canada. Number of products are branded with various celebrities, Snoop Dogg, Paramount Pictures, Trailer Park Boys and many more
  • Has good c-level execs and experienced executive board; hold significant stake in the business. CEO Raj Grover holds just over 21% of the shares
  • Currently has a market cap of around $280m. Still significant upside to the valuation – see analysis later in post
Investment Merits
Very strong market growth:
  • Business has demonstrated growth both organically (through new store openings, more online sales and greater wholesale sales), as well as inorganically through M&A
  • Growth in markets which High Tide has a physical presence in is expected to be very strong. North American cannabis market (Canada and US) is forecast to grow by 30% a year to 2027 (source: research and markets)
  • Analysts covering High Tide are forecasting growth in excess of this, which is positive to see and implies capturing market share
  • New markets / geographies ‘opening up’, legalizing and regulating cannabis is also an exciting and realistic prospect for incremental growth:
  1. The US federal legalization debate is on the table
  2. Many other countries are considering this too and High Tide is well positioned for these; this is catalyzed by the fact that government debt has increased significantly as part of the response to the COVID-19 health crisis. This needs to be repaid somehow, and increasing tax rates on existing taxes is an unpopular political move. Finding new tax revenues is a more palatable way of increasing tax revenues for governments. This is especially important in countries where elections are upcoming.
  • Personally I do expect to see this accelerate the agenda for the regulation and legalization of cannabis in many new countries
  • Whilst predominantly Canada and US based, High Tide does have presence in some markets where cannabis is not regulated or legalized, the UK for example (~10% of Grasscity sales are made here) and so it is well positioned with a strong and established brand to capitalize on this opportunity, when / if the market ‘opens up’
Regulation
  • High Tide benefits from the regulatory focus and overhang on the cannabis retail sector as it represents a strong barrier to entry, making it more challenging for new competitors to enter market
  • Participants in the market need to have licenses and ensure consistent compliance with laws to continue operating – failure to comply can result in significant financial penalties
  • Personally I normally don’t like investing into retail. There are usually fairly limited barriers to entry, minimal differentiation and negligible customer loyalty, however the cannabis market does have different characteristics in this respect and makes it a more compelling proposition
  • Regulation also benefits those with scale, something High Tide has as the leading player in the market. It costs money to obtain and retain licences to operate and it costs money to ensure compliance with all the laws and regulations and that all staff are acting in accordance with these
  • Some parallels in this respect which can be drawn to casino gaming in casinos; you don’t see new casinos popping up at the same rate which you see new restaurants or apparel stores opening
Demand
  • There’s a lot to like about the demand dynamics for High Tide. It’s vice-nature means that demand is less correlated to disposable incomes. Given where we are in economic cycle, especially important consideration
  • For those doubting this, check alcohol, tobacco or gambling expenditure across economic cycles historically, for a proxy
Strong performance throughout COVID-19 crisis
  • Despite heavy weighting towards brick and mortar, (the most hard hit part of retail) it has effectively managed the shift to online, which is a positive
  • Has relied on government support and financial assistance in the form of job retention schemes (address in more detail later in post)
  • This demonstrates management are capable and have effectively navigated the challenging situation
Data
  • Massively summarized from the video, (and my video on KERN) so check that out if interested in this point, however, they have unique access to supply chain data which could be monetized effectively and generate strong levels of recurring revenues
  • Other established sectors have a trusted party with such unique access to data (e.g. alcohol, lithium, different foods, etc.) and the opportunity here is enormous
  • I would like to see High Tide capitalize on this
Forecasts financials & analysts
  • Currently 2 analysts covering High Tide, both have a buy rating on the business
  • Their coverage is slightly outdated (expect this being updated soon and a further catalyst for positive price action) and their price targets are 60c; at the time their reports were published, they were forecasting a 4x upside (HITI was trading at ~15c)
  • Same analysts also forecasting strong growth - 77% CAGR to 2022. They are forecasting revenues of around $250m and EBITDA of $46m. A reminder here, these are professional analysts, not YouTube students – these come from their financial models, the assumptions of which are discussed with management

Valuation
  • Going to go quick here, its explained more slowly in the video but High Tide is currently valued at a significant discount to the other listed peers
  • Looking at EV / FY+1 Sales multiples – EBITDA not meaningful as some of the peer group are EBITDA negative and High Tide itself has only recently become EBITDA positive

  • Personally, I think Planet13 is the most comparable given its business model
  • Taking both Planet13 multiple and peer group average multiple, this is then applied to High Tide’s forecast FY+1 sales to calculate an enterprise value – this is adjusted for net debt to get to a market capitalization and then divided by the share count to get an implied share price
  • The table below shows the implied stock price valuations from this analysis

NB – assumed the following:
  1. Net debt will change in coming year given the capital structure and a large number of convertible notes – this has been ignored given it will have small impact on the price
  2. The share count will change as a result of dilution from various instruments – if this bothers you massively then look at the valuation discount on the basis of the enterprise value as it does not impact this (and only slightly on the market cap given minimal impacts to cash from instrument execution, etc.)
  3. Not accounting for any stock split, consolidation or any other M&A deals
  4. The FY21 financials are on the basis of the mean broker estimates from Thomson Reuters – Seeking Alpha has different and slightly outdated ones
Investment Risks & Mitigants / Outstanding DD points
Exposure to changing regulation
  • US is only a small part of the market which High Tide addresses, while a change in regulation would have a big impact on the company, currently it is unlikely this would happen, given the discussions about potential federal legalization
  • Canada regulation is established and not going anywhere
  • Other countries likely to legalize and regulate cannabis, as outlined earlier
Dilution
  • No escaping that there will be some significant dilution for shareholders, as pointed out in the table below, but this should be already priced into the stock
  • Potential that new equity issuances could occur to help finance growth, but provided this growth is delivered, it should be accretive for the stock price

Potentially misleading cost basis information
  • A risk that investors need to be aware with for all companies which have relied on government financial support during COVID-19 measures. Such support has resulted in the number of businesses going bankrupt decreasing massively – this is at a lower level than it ever normally is and is masking some real underlying issues within companies. As investors we need to be open eyed about this
  • As High Tide has benefited from support in the form of the Canada’s Emergency Wage Support scheme, there is the risk that once this is lifted it may become apparent that the cost base has not been effectively managed
  • Personally, I think this is mitigated by the synergy analysis conducted as part of the M&A. A full cost base analysis would have been conducted to calculate the potential $8.4m synergies so strong likelihood that this is under control, but should keep on our radar and reassess
Marketing expenses and celebrity licenses
  • Need more information to ascertain whether these are underpinned by a compelling ROI. Seen a lot of people suggest this is a great positive, but the impact on sales volumes from these is unknown, as is the terms of these license agreements (e.g. split between upfront fee vs. volume-based fee)
  • No escaping the fact that it is an increased cost and so need to understand the ROI this generates to determine whether it really is compelling
  • Is there really more demand to pay a premium for Snoop Dogg bongs, Guns n Roses papers, Cheech & Chong grinders, or whatever they may be?
  • So far management have suggested this has been helpful in driving new sales, but this is something to dig into more

The first two stories in the article are legit: a couple in a terrible car accident and a couple separated by the Sudanese civil war. Then things start going to hell and get worse and worse. All of the things that FDS warns against are here: codependency, gaslighting, lying, cheating, excuse-making, blame shifting, martyrdom. Women continue to be conditioned to accept sub-par treatment by these kinds of narratives. The ladies of FDS refuse to help relationships "survive trauma" that is LITERALLY CREATED BY THE MAN IN THE RELATIONSHIP AND HIS SELFISH AND OVERALL TERRIBLE DECISIONS.

‘I was in prison for 2,192 days; she wrote to me almost daily’

Laure, 58, and Jerry, 62, survived his jail sentence for causing death by dangerous driving. They live in Alabama, and now run a support network for the families of prisoners.
Laure Jerry and I met in 1995 and married four months later. I tell him all the time I would marry him again, but faster. We’d both been married twice before and dating was the last thing I was looking for. But he ticked all the boxes.
I had two daughters and he had one. We moved our family from Tennessee to Alabama, to raise them in the country. We were living the dream. But on 17 March 2003, it was shattered when Jerry caused a head-on car collision which killed a young mother. He had been driving drunk.
I felt rage, betrayal. When we met, we were both recovering alcoholics, so I had only known him sober. Now a life had been lost. I didn’t want him dead, but I wanted him to hurt real bad. We lived in a small town, and I grieved for that family. I felt embarrassment. I had to get to the forgiveness part quickly so I could get through each day.
Jerry spent 10 days in the ICU. He pleaded guilty to manslaughter and was sentenced to six years in prison and 19 on probation. I was scared – emotionally, practically, financially, spiritually. I wanted to stay married but didn’t know how. I didn’t know what you do when someone you love is in prison.
His first year home, we argued all the time. I’d put my hand on his shoulder and he’d push it away
I wrote to him almost every night. I could afford one dollar-a-minute phone call a week and petrol for the 100-mile drive to visit every two weeks. I felt a lot of anger in those first years. I remember burying the cat, crying, saying, “This is a dad job.” I tried to experience the girls’ graduations for both of us.
His first year home, we argued all the time. I’d put my hand on his shoulder and he’d push it away; he was still in survival mode.
We’re grandparents now and enjoy our family immensely. We run a support network for prisoner families, called Extended Family. I started it six months into his sentence.
Jerry will still say, “You stayed with me all those years,” but I don’t think of it that way. I’m not going to make him do the dishes for the rest of our lives. We spent six years without each other; we don’t want to spend another minute apart.
Jerry On our first date, I took Laure and her daughters to see Cinderella at the theatre. When I got home, I wrote “She’s the one” on the back of the programme.
We had a good life. I had a small engineering business, work grew busy, and we moved cities. But I was in a mess. I got into narcotics but hid it from my family. The night of the accident, I had stopped at a liquor store. I was in a blackout. Moments later, a young woman was dead and I was airlifted to hospital. I was shocked, remorseful, disheartened.
My wife has a big and kind heart. I tried to protect her from the police investigation and the likelihood of prison. I didn’t want our girls walking around with the stigma of a dad who had killed someone.
In Alabama, incarceration is uncontested grounds for divorce, but there was never a question of Laure leaving me. On an early prison visit, I told her I wouldn’t blame her if she wanted to leave. She looked at me and said, “I’d be more miserable than I am now.” I’ll never forget it.
I was in prison for 2,192 days and she wrote to me almost daily. There were guys that got nothing. I felt blessed and honoured. She would arrive every two weeks and I would put on a smile. But I pitied myself; I felt useless, unable to provide for my family.
When I came home, I was harsher than before. Meanwhile, this woman I loved had blossomed. I had to adjust. There’s a not a day that I don’t pay for my disastrous decision in some way, shape or form. We worked through the mess I made together, and we’re closer because of it.

‘It was a form of gaslighting. He led a double life’

Keith, 59, and Claire, 57, survived his gambling addiction. They live in Sussex.
Keith Claire and I had known each other in the 80s, and reconnected online 20 years later. Claire was living abroad, and I was on my way to broke. She’d make short trips to the UK, and we’d laugh through days out and long lunches. She was intelligent, full of life; a better person than I was.
I first entered a casino at 16. By 18, I’d borrowed, conned and stolen from everyone I knew. I was an addict. Through adulthood, I’d made and lost small fortunes and entire businesses. I’d play Monopoly for real money, or sit in a room of the club I owned, drinking brandy, snorting as much cocaine as I could.
I wasn’t a constant drug user or gambler. When Claire visited, I’d try to keep it together; but then I’d get desperate and make excuses to go to London for “work”. When she moved to the UK with her three kids in 2009, I’d disappear into a room of the home we shared for days, in a heady state of gambling, drugs and porn, too embarrassed to re-emerge. I had intermittent spells in Gambling Anonymous, but I found it hard to ask for help.
Claire paid for the house and put food on the table. I never stole from her, but I’m still surprised she didn’t walk out. By 2014, I’d had a heart attack and was nursing my mother, who had cancer. I would drive her to the hospital every day, off my tits, bring her home, make her food, then shut myself in another room and gamble online.
I couldn’t see myself in the mirror any more. I wanted to die. On 28 June 2014, I logged on to a website for people seeking affairs and used it for porn. That decision would almost end us: when Claire discovered the website in her search history, she sent me a Dear John letter. The next day, she drove me to residential rehab. The only rule I broke there was asking her to spend one night. I had to save the relationship.
I’ve been clean for six years now; Claire is part of the reason why. People talk about languages of love. For me those are quality time, acts of service. Boy, were there acts of kindness and service from Claire. Without her, I could well be dead.
Claire I was 18, and a poor student, when I first met Keith. He seemed glamorous, exciting, funny, intelligent. He was also a known gambler, but when we reconnected years later, that appeared to be in his past. Yet, with hindsight, nothing about the start of our relationship makes sense.
When I visited, he’d urgently have work or disappear into a room for days at a time. I’d spend hours on edge, struggling to trust him, but he would rationalise his behaviour, omitting huge details, claiming he’d simply drunk too much. It was a form of gaslighting. He led a double life.

The first time I confronted him, I’d found an empty drugs packet, but he lied his way out of it. I became scared to ask, although we both knew he needed help. When his mother was unwell, he had the perfect alibi. He was an addict but he was responsible – and he took exquisite care of her. I was fearful but I had to get on with life.

When Keith decided on residential rehab, I knew that if I didn’t support him, there was no future. I didn’t want significant time apart, but when an addict is serious about making changes, you have to put your own needs aside.
The most soul-destroying moment came when I found the affairs website. I had been betrayed by gambling and drugs, but my belief in the purity of our love had kept me going. I wrote to him saying it was over. From rehab, Keith proved to me it was only curiosity (there was no activity on his account), and I was open enough to reconciliation to visit him.
Emotionally, we’re more independent now, although we share bank accounts and he supports us financially. I’ve grown, too. I used to tell friends that Keith felt like an addiction to me. I’d waited years for a stable home life together: eventually, he walked the most difficult path in order to truly change.

‘Friends saw us as the perfect couple, but it was a lie’

Maryam, 31, and Amir, 33, survived his affair. They live in California.
Maryam When Amir had an affair, I had a thousand reasons to leave but looked for the one to stay. Our relationship had started as an affair, too. We had been couple-friends in our previous marriages and used to hang out as a group of four. Then, in February 2017, Amir and his wife broke up and he came on a trip with my husband and me. One night, we were up late, talking, while my husband slept. Amir opened up about his marriage and I began to sense he had feelings for me. I had relationship problems, too, and we started an affair. I ended my marriage.
Over the next 18 months, friends came to see us as the perfect couple. They would comment on how loving our relationship was. But I couldn’t forgive myself for how we’d started, and his divorce was a mess. He spent nights with his ex. I broke up with him several times. Things looked great on the surface but we both carried unresolved pain.
By the end of 2019, I became suspicious of his relationship with a co-worker. She was too intimate at the Christmas party and he was jumpy when she called. Then I found a credit card charge to a cafe, clearly for two people.
I loved him deep down but anger overwhelmed me. He asked over and over for a chance to prove he could change
It took me 10 days to get the full details from him. It had been going on for months and they’d slept together six times. I couldn’t breathe; I felt stupid. Everything that had gone before felt like a lie. I left him.
Amir telephoned non-stop and showed up at my parents’. I loved him deep down but anger overwhelmed me. He asked over and over for a chance to prove he could change. Eventually, I agreed to give him three months. We started individual and couples’ therapy and talked through every detail of our relationship. I couldn’t bear to sleep in the same room as him, but I could look at his face again. I agreed to more time.
I see the consistency and changes Amir has made, his commitment. When I discovered his affair, I was ready to give up on our relationship, but we have both grown. No one knows what the future holds and I have my fears. But, right now, I love the way he loves me.
Amir Maryam was the first time in my life I felt real love. But we were both married and I told myself it couldn’t happen.
As time passed, my ex-wife had an affair and my marriage died. Maryam had problems, too, and I made my feelings known. I admired her looks, the way she thinks. This wasn’t a game that I’d started; it was coming from the bottom of my heart.
I was born in the Middle East, in a war zone. As a child, I experienced sexual and physical abuse at the hands of my teacher, but told no one. The human psyche finds soothing mechanisms to alleviate pain. For me, that was sex.
I was in the most loving relationship with Maryam. The sex was amazing. We bought a house, enjoyed travelling. But the foundations were shaky and I unconsciously sought more.
When I got close to a co-worker, it turned into an affair, starting in May 2019 and lasting several months. It was pure sexual desire. This wasn’t someone I wanted to change the course of my life. We were opportunistic and, in those moments, I became blind to the consequences.
When Maryam found out, I tried to lie. I was naive about how much I was going to hurt her. She wanted nothing to do with me. She blocked my calls and texts, and told our family and friends all the details. Everyone who loved me looked at me as a monster. For the first time in my life, I started to wake up.
I made fixing myself and our relationship my only priority. I promised Maryam she would see a change, and started intense therapy, twice a week. I addressed my childhood trauma and sought support for sex addiction. I realised how much I was willing to do for Maryam.
At the beginning, it was simply about keeping Maryam; but it transformed into strengthening our bond. She has made sacrifices for me, been my guide and love. Every day, I’m more appreciative.

Kai Bickle's world came tumbling down one night in May 2019, when he attended a dinner party at a lavishly decorated mansion overlooking the golden sands of Venice Beach in Los Angeles.
The host was his father, Peter Nygard, a Canadian fashion tycoon famed for the hedonistic lifestyle he pursued at a global portfolio of high-end properties, including vast residences in Winnipeg, Toronto and Montreal, as well as New York, and, most notoriously, a Mayan-themed 'private luxury resort' in the Bahamas.
Modelling himself on Playboy founder Hugh Hefner, the flamboyant Nygard, now 79, kept a revolving harem of girlfriends. Those caught up (often completely unwittingly) in this web had included actresses Susan Anton and Jennifer O'Neill, stripper-turned-reality star Anna Nicole Smith, and a former Wheel Of Fortune card turner by the name of Vanna White.
His Caribbean parties, meanwhile, tended to attract a better class of A-lister. Past visitors to the island property had ranged from Jane Seymour and Bo Derek to Robert De Niro, , Michael Jackson and Joan Collins, not to mention and , who were photographed there in the early 2000s on an innocuous family holiday.
The 2019 bash, during one of Peter's occasional business trips to LA, was to be a more down-to-earth affair. Roughly 20 guests, including Kai, 38, and his younger brother Jessar (one of roughly ten offspring Nygard has fathered via more than seven women) had been invited for food and drinks, followed by a late-night poker game.
That was the plan, at least. But Kai never made it to the card- table. Instead, he fled the lavish premises in a state of distress, shortly after dinner, believing that he had just witnessed his father attempting to sexually assault an eight-year-old girl.
Details of this ugly development are (it should be stressed) strongly disputed, and we shall examine them later. But the incident would kick-start an extraordinary chain of events that culminated just before Christmas, with the arrest of Peter Nygard on nine charges of sex trafficking and racketeering.
Currently behind bars, with his $900 million (£660 million) business empire in tatters and the FBI poring over his computer hard-drives, the fallen tycoon has now been accused of rape or sexual assault by at least 57 women. Several of Nygard's accusers were children when the alleged crimes took place, and many claim they were drugged.

He will appear in court in Canada next week, seeking bail as he fights extradition to the USA.
It is, perhaps, the most high-profile and shocking sex case since handcuffs were slapped on Jeffrey Epstein. And in a remarkable twist, it turns out that a leading figure in the increasingly public campaign to prosecute Mr Nygard is his aforementioned son, Kai.

Behind the scenes, I can reveal that Kai has spent the past 18 months secretly helping both the U.S. and Canadian authorities investigate his own father's alleged crimes. Keeping his role hidden from Nygard and his associates for several months, he has worked tirelessly to assist victims, and their legal teams.
On the personal front, he has changed his name (taking up his mother's surname to become Kai Zen Bickle) and used his influence over various Nygard companies to block efforts to move his assets offshore, fearing that would allow him to flee. 'We have been engaged in a brutal battle against my father and his enablers,' is how Kai summed things up when we spoke this week.
'He has become my arch-nemesis. I no longer regard him as my father . . . He is a monster. I am now here to serve in any way I can, to support survivors and the justice process and also to help expose the people who covered up his crimes.'
Perhaps most remarkably of all, Kai recently helped two of his younger siblings, one of whom remains a minor, to sue Peter Nygard over claims he 'engineered' the rape of his own sons. In an extraordinary lawsuit filed in August, the boys claimed that their leathery, multi-millionaire father instructed one of his long-standing girlfriends (who was also a sex worker) to 'make a man' out of them.
The first of these alleged attacks (which, again, are vehemently denied by Nygard) took place in the Bahamas 2004, when the son was 15 and the woman was in her mid-20s. The second occurred in Winnipeg in 2018, when the younger child was 14 and the woman was in her 40s. Court papers filed by the boys stated that the unnamed girlfriend was instructed to seduce Nygard's son by showering in his bathroom so that he 'could see her naked'. Then she raped him.
Afterwards, she allegedly told the boy he 'wasn't bad' for a 'baby.' The next morning, Nygard's girlfriend brought him breakfast in bed, kissing him on the lips and announcing: 'Mommy's got you.' Kai says he first became aware of this appalling incident last spring, and was 'sickened' to hear his brothers' claims.
He would often yell and scream at his staff.
'We all spoke and decided the best course of action was to file a lawsuit publicly in the hope that other survivors would feel safe to come forward and also file criminally against Nygard,' he says. 'We were originally going to have me in the suit as my young brother's guardian, but in the end decided not to because it would reveal to Nygard that I was working against him . . . At the time I was [secretly] doing everything I could to improve the odds that he would get arrested.'
To appreciate the extraordinary journey taken by Kai, we must wind the clock back to the mid-1980s, when his father was one of Canada's most talked-about self-made millionaires.
The son of penniless immigrants from Finland, Peter Nygard had launched his empire in the late 1960s, with an $8,000 (£6,000) investment in a struggling fashion firm. By the time he was 30, the company had become one of North America's most successful suppliers of leisure and sportswear, while his flamboyant eccentricities, which included keeping parrots in his office and filling the lobby of Nygard HQ with bronze busts of himself, turned him into an object of public fascination.
In 1987, the party-loving entrepreneur purchased a 4.5-acre patch of the island of New Providence in the Bahamas and set about turning it into a 'dream home' where he could indulge his champagne lifestyle. Over the ensuing years, he built 150,000 sq ft of Mayan-themed buildings, stretching over a dozen 'cabana-style' residences. The buildings at Nygard Cay eventually included a casino, a disco hut (with cameras beneath the dance floor, reportedly to shoot images of revellers from below), and the world's largest sauna, a 6,000 sq ft lodge made from 2ft-thick Canadian pine logs.
In the grounds were fake volcanoes that belched dry ice, a flock of peacocks, stone cobras which hissed steam at sunset, 60 ft towers festooned with hundreds of flaming torches (lit nightly by staff) and giant statues of nude women, purportedly modelled on some of Nygard's favourite girlfriends.
At weekends, he would host lavish parties, which appeared on various TV documentaries, including Lifestyles Of The Rich And Famous.
The place became a magnet for freeloading celebrities and, while Kai believes they generally had the most fleeting and brief relationship with Nygard, photos of their visits were then plastered across company literature and websites.
Prince Andrew, to cite one example, was recorded for posterity wandering with the long-haired fashion magnate on the beach, wearing blue shorts and boat shoes.
Born in the 1980s, Kai spent the first three years of his life in the Bahamas until his mother, Patricia, left Nygard, with whom she'd had three children but never married.
They moved first to California and then to the Pacific Northwest in the U.S. Over subsequent years, he had almost no regular contact with the fashion tycoon aside from occasional visits during school holidays, where he met various half-siblings.
'He would have one family weekend per year at his lake cottage, and a few days set aside for Christmas,' says Kai of the somewhat unorthodox arrangement. 'During those times, the days were filled with activities like horseback riding or mini golf.
'He could be a very charismatic person when he wanted to be and the family weekends were very light and brief.'
In the very limited time he spent with his father during childhood, Kai saw nothing that gave him reason to suspect that Peter Nygard was guilty of criminality, though he did have a highly volatile personality.
'He would yell and scream at his staff often, and that always was upsetting to everyone around it, but he would describe his yelling as 'passion' because of his 'high standards',' Kai says.
Nygard's children were further told that he 'lived a consensual, non-monogamous lifestyle,' Kai says. 'He made speeches at dinner to family when we were together to talk about how he hoped everyone got a wonderful partner and wished that he could find that special someone, but that it wasn't the life for him.
'He also had girlfriends that were persistently with him, always two or three, and often they were around for years. He wasn't embarrassed about it. He flaunted it on TV, it was part of his brand, something he showed the whole world. He was proud of it.'
Be that as it may, rumours of predatory behaviour by Nygard —and worse — had occasionally reared their ugly head, only to be quickly suppressed: a relatively easy task before the internet.
In 1980, for example, he was charged with the rape of an 18-year-old, but the charge was dropped when the complainant refused to testify. In 1996, three female employees meanwhile filed sexual harassment complaints in the Canadian province of Manitoba.
It looked like his hand was on her thigh, rubbing.
One, a 39-year-old communications manager, said that, when called into Nygard's office, she would 'find him in a state of undress . . . with his hands down the front of his pants, fondling himself.' He settled by giving the women $18,500 (£13,600) and denied any wrongdoing.
Then, in 2010, a Canadian TV network put out a Panorama-style documentary about Nygard, focusing on alleged sex abuse and harassment of former employees.
It quoted a former stewardess on his private plane who alleged that on one journey — during which Nygard was accompanied by a troupe of topless women — he lost his temper with staff, shouting: 'You are nothing! You are garbage! I am God!'
The programme also alleged that Nygard had engaged in 'inappropriate sexual contact' with a young woman who had been brought to his home in 2003 from the Dominican Republic. Nygard denied that either incident had happened, and sued to stop the documentary being broadcast.
Fast forward to May 2019, however, and those ugly incidents were largely forgotten. Kai, who was by then in his late 30s, had worked for his father's companies for just over two years after leaving college, but quit to pursue a career in activism and health science.
Nygard's trip to Los Angeles afforded them a rare opportunity to catch up, so he attended the aforementioned dinner party in Venice Beach.
As the night wore on, he recalls becoming uncomfortable about his father's behaviour towards an eight-year-old girl, who was attending with her mother, one of Nygard's old girlfriends.
'He's got her sitting right next to him at dinner, which is usually his girlfriend chair. And he's a creature of routine. So I'm already thinking this is weird.
'He's trying to act like the Papa. It was just weird . . . I'm noticing things. I'm noticing that he's telling her little secrets at dinner. Putting his hand close to her ear and going all hush-hush.' At the end of dinner, most of the other 20-odd guests got up to adjourn to the card table. However, Kai adds: 'I'm still watching him. Her chair gets pushed back. He brings her round to him.
'She was on his right side. He brings her to his left side, with his arm around her waist, and I see his elbow change and start moving as if — it looked to me, I couldn't see, but it looked like his hand was on her upper thigh, and rubbing. That's what it looked like to me . . . Everything in my body told me he was doing something terrible.'
'I had a huge adrenaline rush and I immediately told the mother to get her daughter away from him,' he adds. 'I stood up next to him and looked in his eyes. At that moment, for me, it was like all the walls were crashing down around him . . . And I realised that, yeah, he's probably trying to groom that girl.'
Nygard vigorously denied wrongdoing, and even called Kai 'sick' for thinking as much. But Kai was unconvinced.
Then, in February last year, ten women filed a bombshell lawsuit in New York claiming that the fashion magnate had used wealth and status to 'entice underage girls' from 'young, impressionable and often impoverished backgrounds' into his home, where they would be 'plied with alcohol' and (some allege) date-rape drugs, before being taken to Nygard's private quarters, where he would 'assault, rape and sodomise' them. Court papers claimed they were then coerced into joining a globe-trotting harem of sex workers paid thousands of dollars from Nygard's company funds and trafficked around the world on his company's private jet, which reportedly boasts a stripper pole.
One alleged victim, who was just 14 at the time, claimed Nygard raped her and paid her $5,000 (£3,700).
Another said her encounter with Nygard began with him showing her pornography after which he raped her, 'causing her extraordinary trauma and pain', the suit states.
Three of his existing ten accusers were 14 at the time. Three more were 15.
Within days, dozens more alleged victims had come forward. By the summer, some 57 survivors were pursuing legal action — and the number of alleged victims had reached 100.
Kai again confronted his father, only to be told it was all 'lies' and asked to speak out publicly in his father's support. But days later a friend texted Kai to complain about a recent visit to Nygard's house in Los Angeles.
'He said he'd brought a female friend with him, who had one or two drinks and had started to feel very high. Nygard took her up to his room and aggressively had sex with her, not using a condom.
'When I heard that, I knew he was not only as bad as people said he was, but was a dangerous criminal and had to be stopped.' He duly alerted the authorities about the friend's message. In a podcast called Live To Walk Again, released this week, he revealed that he began helping both the police and the alleged victims' lawyers, who he regards as 'heroes'.
Over the summer, Kai also used official positions held in Nygard firms to block two apparent efforts to move assets overseas, amid concerns that the tycoon might flee to evade justice.

'Through the course of ten months I also helped several survivors to file criminally against him, and spent countless hours on the phone with survivors, lawyers and authorities,' he says. Last month Nygard was arrested on U.S. charges at a home in the Royalwood area of Winnipeg. He spent Christmas behind bars and has consistently denied any wrongdoing, saying he 'expects to be vindicated' in court.
Kai has renounced his inheritance and is working on 'making the world a better place' by campaigning to close legal loopholes exploited by sex offenders.
'I'm very happy earning my own money, as I have all my life. We've never had a trust fund or an allowance, and since his money has been made through pain and suffering, I won't accept a potential inheritance,' he says.
His father's cash, he says, should instead go towards compensating victims. 'My focus now is to help the healing process.'

This is my first time posting a DD post – a friend of mine who moderates on SPACs has shared some analysis I have written previously, but I’m keen to share this here, and see if there is any appetite for sharing my own personal written DD I have on the 30 stocks I have across a number of different portfolios.

Overview
  • High Tide Canada-based cannabis retail company, operating under multiple brands. It operates under 3 core divisions:
  1. Brick and mortar retail – 4 key brands with just under 70 locations in Canada. Brands include: Canna Cabana, New Leaf, Meta Cannabis and Kushbar. Forecast to have around 115 stores by end of 2021
  2. Online retail – has 2 brands, both of which attract millions of viewers per month – Grasscity.com and CBDcity.com
  3. Wholesale – manufacturer of paraphernalia in US and Canada. Number of products are branded with various celebrities, Snoop Dogg, Paramount Pictures, Trailer Park Boys and many more
  • Has good c-level execs and experienced executive board; hold significant stake in the business. CEO Raj Grover holds just over 21% of the shares
  • Currently has a market cap of around $280m. Still significant upside to the valuation – see analysis later in post
Investment Merits
Very strong market growth:
  • Business has demonstrated growth both organically (through new store openings, more online sales and greater wholesale sales), as well as inorganically through M&A
  • Growth in markets which High Tide has a physical presence in is expected to be very strong. North American cannabis market (Canada and US) is forecast to grow by 30% a year to 2027 (source: research and markets)
  • Analysts covering High Tide are forecasting growth in excess of this, which is positive to see and implies capturing market share
  • New markets / geographies ‘opening up’, legalizing and regulating cannabis is also an exciting and realistic prospect for incremental growth:
  1. The US federal legalization debate is on the table
  2. Many other countries are considering this too and High Tide is well positioned for these; this is catalyzed by the fact that government debt has increased significantly as part of the response to the COVID-19 health crisis. This needs to be repaid somehow, and increasing tax rates on existing taxes is an unpopular political move. Finding new tax revenues is a more palatable way of increasing tax revenues for governments. This is especially important in countries where elections are upcoming.
  • Personally I do expect to see this accelerate the agenda for the regulation and legalization of cannabis in many new countries
  • Whilst predominantly Canada and US based, High Tide does have presence in some markets where cannabis is not regulated or legalized, the UK for example (~10% of Grasscity sales are made here) and so it is well positioned with a strong and established brand to capitalize on this opportunity, when / if the market ‘opens up’
Regulation
  • High Tide benefits from the regulatory focus and overhang on the cannabis retail sector as it represents a strong barrier to entry, making it more challenging for new competitors to enter market
  • Participants in the market need to have licenses and ensure consistent compliance with laws to continue operating – failure to comply can result in significant financial penalties
  • Personally I normally don’t like investing into retail. There are usually fairly limited barriers to entry, minimal differentiation and negligible customer loyalty, however the cannabis market does have different characteristics in this respect and makes it a more compelling proposition
  • Regulation also benefits those with scale, something High Tide has as the leading player in the market. It costs money to obtain and retain licences to operate and it costs money to ensure compliance with all the laws and regulations and that all staff are acting in accordance with these
  • Some parallels in this respect which can be drawn to casino gaming in casinos; you don’t see new casinos popping up at the same rate which you see new restaurants or apparel stores opening
Demand
  • There’s a lot to like about the demand dynamics for High Tide. It’s vice-nature means that demand is less correlated to disposable incomes. Given where we are in economic cycle, especially important consideration
  • For those doubting this, check alcohol, tobacco or gambling expenditure across economic cycles historically, for a proxy
Strong performance throughout COVID-19 crisis
  • Despite heavy weighting towards brick and mortar, (the most hard hit part of retail) it has effectively managed the shift to online, which is a positive
  • Has relied on government support and financial assistance in the form of job retention schemes (address in more detail later in post)
  • This demonstrates management are capable and have effectively navigated the challenging situation
Data
  • Massively summarized from the video, (and my video on KERN) so check that out if interested in this point, however, they have unique access to supply chain data which could be monetized effectively and generate strong levels of recurring revenues
  • Other established sectors have a trusted party with such unique access to data (e.g. alcohol, lithium, different foods, etc.) and the opportunity here is enormous
  • I would like to see High Tide capitalize on this
Forecasts financials & analysts
  • Currently 2 analysts covering High Tide, both have a buy rating on the business
  • Their coverage is slightly outdated (expect this being updated soon and a further catalyst for positive price action) and their price targets are 60c; at the time their reports were published, they were forecasting a 4x upside (HITI was trading at ~15c)
  • Same analysts also forecasting strong growth - 77% CAGR to 2022. They are forecasting revenues of around $250m and EBITDA of $46m. A reminder here, these are professional analysts, not YouTube students – these come from their financial models, the assumptions of which are discussed with management

Valuation
  • Going to go quick here, its explained more slowly in the video but High Tide is currently valued at a significant discount to the other listed peers
  • Looking at EV / FY+1 Sales multiples – EBITDA not meaningful as some of the peer group are EBITDA negative and High Tide itself has only recently become EBITDA positive

  • Personally, I think Planet13 is the most comparable given its business model
  • Taking both Planet13 multiple and peer group average multiple, this is then applied to High Tide’s forecast FY+1 sales to calculate an enterprise value – this is adjusted for net debt to get to a market capitalization and then divided by the share count to get an implied share price
  • The table below shows the implied stock price valuations from this analysis

NB – assumed the following:
  1. Net debt will change in coming year given the capital structure and a large number of convertible notes – this has been ignored given it will have small impact on the price
  2. The share count will change as a result of dilution from various instruments – if this bothers you massively then look at the valuation discount on the basis of the enterprise value as it does not impact this (and only slightly on the market cap given minimal impacts to cash from instrument execution, etc.)
  3. Not accounting for any stock split, consolidation or any other M&A deals
  4. The FY21 financials are on the basis of the mean broker estimates from Thomson Reuters – Seeking Alpha has different and slightly outdated ones
Investment Risks & Mitigants / Outstanding DD points
Exposure to changing regulation
  • US is only a small part of the market which High Tide addresses, while a change in regulation would have a big impact on the company, currently it is unlikely this would happen, given the discussions about potential federal legalization
  • Canada regulation is established and not going anywhere
  • Other countries likely to legalize and regulate cannabis, as outlined earlier
Dilution
  • No escaping that there will be some significant dilution for shareholders, as pointed out in the table below, but this should be already priced into the stock
  • Potential that new equity issuances could occur to help finance growth, but provided this growth is delivered, it should be accretive for the stock price

Potentially misleading cost basis information
  • A risk that investors need to be aware with for all companies which have relied on government financial support during COVID-19 measures. Such support has resulted in the number of businesses going bankrupt decreasing massively – this is at a lower level than it ever normally is and is masking some real underlying issues within companies. As investors we need to be open eyed about this
  • As High Tide has benefited from support in the form of the Canada’s Emergency Wage Support scheme, there is the risk that once this is lifted it may become apparent that the cost base has not been effectively managed
  • Personally, I think this is mitigated by the synergy analysis conducted as part of the M&A. A full cost base analysis would have been conducted to calculate the potential $8.4m synergies so strong likelihood that this is under control, but should keep on our radar and reassess
Marketing expenses and celebrity licenses
  • Need more information to ascertain whether these are underpinned by a compelling ROI. Seen a lot of people suggest this is a great positive, but the impact on sales volumes from these is unknown, as is the terms of these license agreements (e.g. split between upfront fee vs. volume-based fee)
  • No escaping the fact that it is an increased cost and so need to understand the ROI this generates to determine whether it really is compelling
  • Is there really more demand to pay a premium for Snoop Dogg bongs, Guns n Roses papers, Cheech & Chong grinders, or whatever they may be?
  • So far management have suggested this has been helpful in driving new sales, but this is something to dig into more

MCAC and Playboy (PLBY) merger. Why I think Playboy has a bigger future.

As I am sure a lot of you know, Mountain Crest Acquisitions (MCAC) are in late-stage talks with playboy to take them public currently at a valuation of ~$425M meaning we should see the MCAC ticket convert to Playboys ticker, PLBY, within a matter of days, if not weeks. A lot of the people I have seen talking about the Playboy acquisition have argued that Playboy is a dying brand and are far beyond their prime, which is no doubt true, in terms of selling sexy magazines that have all but been made redundant by online pornography. However, this company and its newish CEO (of 2017), Ben Kohn, have given it a new lease of life and are changing the globally recognized brand's direction to be more of a lifestyle and sexual wellness brand. They have been seeing huge year on year growth since Kohn's appointment in 2017 across almost all revenue streams, Kohn has been a part of Playboy for many years and initially helped privatize them in the early 2010s. He is highly regarded for his marketing and sales abilities.
WHY PLAYBOY?
First of all let me offer you CEO Ben Kohn the chance to convince you: Here is his investor presentation. The numbers are extremely impressive.
If you would rather hear it from me, for whatever reason, my take is below:
For me, one of the most notable things about this deal is its the extremely rare opportunity to buy into one of the world's most known brands at such a low valuation. How many SPACs currently on the market would you be able to ask your typical man or woman on the street about the company they plan on buying and almost everytime get an answer about who they are and what they do? Playboy had a WHOPPING $3bn annual spend on thier brand across 180 countries worldwide last year!
Playboy are taking huge strides moving away from the sex negative and very 20th century ideals they built their original empire off, and closing in on an increasingly empowered and sexually liberated young demographic. The sexual wellness market is seeing massive growth among people both young and old and is expected to reach $125 billion by 2026 with an expected anual growth of 12.1% YoY, now think about the size of this market in context of how many brands do you know that are key players in this sector? It should be somewhat obvious that Playboy is in an extremely unique position to capitalize on its massive recognition in a growing market otherwise lacking recognized leaders, they plan on doing this with a strategy of M&A which are outlined below.
First, I will talk about what they are doing now to fit themselves into the market we see today. Playboy has begun a plan to increase growth via acquisitions, and started by buying leading sexual wellness reatiler Yandy at the end of 2019, and have driven direct sales up from $3.7M in 1H 2019 to $29.7M in 1H 2020. On top of this, they are working to make their own playboy.com website into a retail destination, and across Yandy and their own store they were seeing 70,000 orders a month with a AOV of $72.
During the stock redemption period Stockholders requested redemption of a total of 8,842 shares, less than 0.2% of Mountain Crest’s issued shares. As a result, Mountain Crest anticipates that approximately $58.7 million will be released to PLBY Group immediately following the closing of the transactions, with further PIPE investments of $50 million. Ben Kohn, CEO of Playboy, said, “We are delighted with the overwhelming support for this transaction, which at closing is expected to inject more than $100 million of gross proceeds into PLBY Group, so that we can aggressively capitalize on our well-defined and exciting organic and acquisition-led growth plan.”.
On top of direct sales increases, Playboy continued to capitalize on their brand recognition by increasing licensing revenues YoY, with ~$400M currently in forward-booked cash flow. Note licensing is one of the most cost-effective way brands can earn revenue, with 80% cost margins and being able to create such licensing demand is a rare feature only attributed to truly globally recognized brands. I read somewhere which I now cannot find that Kohn has said (I am sure somewhat jokingly) that he believes the Playboy Bunny Logo alone is worth a billion dollars, and I can see some truth in it, the Playboy bunny is close to the levels of recognition of the Nike swoosh or the McDonalds M, even among young people who have probably never seen a playboy mag before, myself included (i have never seen it sold in the UK).
As breifly mentioned above, playboy Revenues are growing rapidly. 2020 Projected Revenues is expected to be up 75% year over year, and Projected Adjusted EBITDA is expected to be up 112% year over year, they have projected 2021E revenue and adjusted EBITDA of $166.8M and $40.3M, respectively, with an goal of $100M EBITDA by 2026.
They already have a number of CBD-based products and have plans in place to grow into the legal marijuana industry when it is eventually legalized at the federal level.
They are looking to increase their positions in the gaming industry and have recently opened a poker house in Houston, on top of their London Casino, with further plans to add more casinos in the US, and looking for sports betting partnership opportunities.
Playboy are already an established producer of apparel and maintain a realtively large presence within the market, particularly in China, where their items are sold in over 2,500 brick and mortar stores, and 1,000 online stores across the nation. In the western World they are stocked at household retailers such as urban outfitters, and have done many collabs with well regarded and in fashion millenial brands such as Supreme, Anti Social Social Club, and Alpha industries (all 3 of which have seen extraordinary growth among young people all within very short time). For me this stands out massively and shows promise on both sides of the table; These trendy and modern brands want to associate with the Playboy logo and lifestyle, showing a level of interest from consumers, but more importantly it shows that Playboy is tapped in and aware of the youth culture, an area in which they have the potential to capitalise massively on through all of their revenue streams.
One of the things i think people are most underestimating about this merger is that the current trajectory Kohn is taking Playboy along is very 2021, and is extremely focused on growth. I believe the brand to be undervalued already, and when taking into consideration the trends in Millenial and Gen Z society, I think this brand is ready to once again become a market leader in its new sectors.
A comment I saw on another DD put it well: "If Kylie Jenner thinks its cool, it probably is". It sounds stupid, but the power of social media in conjunction with its recognized logo and brand mean you cannot underestimate this companies value and potential for both short term and long term growth. Coupled with the large cash injection of over $100M and a new focus on M&A, the upside really is potentially enormous. Personally i think it is somewhat criminal this company does not have a current valuation of close to a billion USD considering its recognition, and i think Kohn is the man to enable playboy to capitalise on their extremely unique position in a rapidly growing market.

The problems with PvP and why planned 5th age probably won't solve them

I have been very into the PvP-style of this game starting from 2011, although I haven't been playing the game since 2014 until last month, but the execution has always been way off. There has been some progress and some tweaks here and there, but PvP will never be even remotely balanced or populated unless the following key points are addressed:

  1. Crowns-only equipment from packs
- It is unbelievable that this game has been able to continue with its marketing, especially to kids, with such blatant gambling elements for so long, while some other larger game companies (like EA) have finally been called out for their practices. Wizard101's casino lootboxes are literally the worst thing about the game, and it seems like they are just going more and more into that direction. And unlike many other game companies nowadays thanks to the new laws, Wizard101 doesn't even disclose the odds of receiving a certain item (I bet they are so small that people would be too de-incentivized from buying).
Anyway, if this all was just cosmetics and stuff it wouldn't be such an enormous issue, while still being blatant gambling. The problem really shows in PvP, as basically everyone who wants to do well, especially in the low end PvP, NEEDS to have the OP PvP-gear, at least if they haven't already previously got the warlord gear, which they will never get without the crowns gear.
The plans for the 5th age are to remove the OP PvP-gear which you can get from tickets, but in that case the crowns-only gear will just become even more dominant, only moving the problem and not solving it in the slightest.
Even if the crowns-only gear would be sold for a hefty price-point in the crowns shop it would be annoying, but still better than literally having no guaranteed way of ever getting it, as the lootboxes could just drain infinite amount of money without ever giving you what you want. Unless of course, there are some hidden "pity-timers" which guarantee certain loot after a certain amount of rolls, but that information is not disclosed to us. (of course it isn't..)
This point is made far worse by the additional RNG-added to the crowns-only equipment, like may-cast wands, which completely ruin any kind of semblance of a competitive experience the moment they go off. You cannot strategise against random attacks.
Solution possibilities:
Remove the crowns-only equipment, nerf it to be in par with the normally attainable gear, give everyone easier access to the crowns-gear, or just limit it to be non-PvP.
  1. Ranked PvP costs to attend (to non-subscribers)
- I have played hundreds, if not thousands of games during my short life, as I think games, video games especially, are one of the greatest man-made things ever created. I also have a Master's degree in game design, and I'm currently studying a PhD-related to the topic, and I have NEVER, I mean NEVER EVER, come across another game which would charge their players for attending the competitive scene, and not offer a permanent way of unlocking it somehow (this does not include games which are completely pay-to-play, with the paying including everything, as well as PvP, like World of Warcarft). It not only does not make any sense, as you really want to have people growing a PvP-community around any kind of online-game which wants to stay active when the main PvE content runs stale, which always happens between expansions in MMOs, but paywalling a game mode will cause even the players who do play to get a sub-bar experience due to lack of players, especially new players.
I completely understand that the point is and always have been to attract people to the subscription-method of paying. Well, I have to say that I personally hate subscription method as a customer, but I know that a lot of people think that's alright. To me it just feels like I have to rush and play as much as I can during a subscription, even when I don't really even want to, causing the time spent to be less enjoyable than if there was no fixed time. This is one of the main reasons WoW never attracted me, as I can't stand subscriptions.
Thankfully, wizard101 has another option, paying by area. The cost of the areas is so high, and there is more added after every world, that the game would not actually make any less money by attracting people more towards the area-buying option. It would also truly incentivize developers to create new worlds more often, as the payout would be more clear. For subscription-players, adding Karamelle did not really cause a reason to spend more, as they already had access to it, so creating worlds more frequently only serves to lure back players who have stopped playing completely after their memberships ended and they maxed out the content, as the game didn't offer enough to do as a "temporarily f2p-player".
This could be solved by letting everyone compete in the ranked PvP (and why not derby too) even when they are not members. This would give players a reason to login to the game when they are not subscribing, and to players who seek to mostly play PvP, it would provide more opponents. I mean seriously, what game which has this many players online for the PvE has such a ridiculously small PvP-community? Even back in 2011-2013 when the game was fairly young and I played in the UK server (had to migrate to the US this year as the server there is dead), it was basically impossible to find 3v3 or 4v4 ranked games, and even the practice games weren't that common. While I really enjoy 1v1, I think the strategic difference in other modes is something players cannot and have never been able to explore due to the lack of players. And that is a very sad thing for a game that is already 12 years old.
So basically, the ranked PvP needs to either be completely free, OR there needs to be a way to permanently unlock it (preferably with gold, or at least with a reasonable crowns fee). This way players who are not members, or who (like myself) don't want to be members can still participate and bring more players to the table. You can see this change already in the tournaments being free: during the time I played ages ago and tournaments came, I never got to play a single tournament despite trying many times, as there were never enough players willing to pay the crowns fee. Now, nearly all of the tournaments start, at least for some level players and that is great. I fear though, that KI has learned nothing and will switch the cost back up with the start of the 5th Age.
What some larger game companies for some reason don't understand, is that f2p-players are not worthless, they are the reason why most online-games stay online: they create the incentives for people to spend in the first place, and if you manage to keep the f2p-players happy, you will get a lot more paying players just through word-of-mouth, than if you only try to keep paying players. (We can see a terrible example of how not to do this already by how limited the new f2p experience is, still after 12 years.)
  1. Spellments and unobtainable spells
- I'm sure no one reading this was surprised about this next topic, but as well as basically unobtainable gear, unobtainable spells and spells which are stronger than the normal versions of those and can basically only be upgraded through packs also break the "harmony" of a competitive experience. There are currently some spells which cannot be learnt other than through packs, and while not all of them are game-breaking, they can still in certain circumstances offer an unfair advantage, or even if they would not now, they certainly will in the future with the direction we are going towards. The solution for this is simple, but KI won't do it, as they are too invested in milking children for that undisclosed chance of getting some of those spells. (I won't buy a single pack personally and I will attempt to estimate how much disadvantaged I will be now and in the future for as long as I remain interested.)
For the unobtainable, another part is the spells which can only be got through luck while farming. That sure is a lot better, as technically the farming doesn't cost anything as long as you have access to the area and you will get other useful rewards while doing that. The problem arises though, if those spells, especially the infamous Headless Horseman, are so strong, that you NEED to have them in the PvP to stay competitive. And to make matters worse, of course the intended way to get these spells as well is to buy packs instead of farming. (I have been testing the lorefarm, got one spell which isn't useful to me after around 100 tries. I think that's a bit much just to get prepared to be on even footing on PvP, talk about new player PvP experience.)
Now then, spellments, are another kind of monster added to the game. I naturally enjoy the concept of upgrading spells, and making low-level spells more useful in the late game is not a bad design choice, it's just that it revolves around the same problem that everything I've been talking about this far, lootboxes.
I know that there are some ways of farming spellments technically for free, but apart from a specific few, those are barred behind skeleton key doors, and there are no other ways to get those than farming, and.. yes you guessed it, randomly from packs! You see the theme here? And even though some of those only give minor damage enchants which won't matter too much on the average eye, the utility buffs (namely the myth's troll minion summon upgrade) are just blatant forms of p2w gambling.
Solution, make spellments available to everyone more easily, not just randomly to select few whales. If KI would actually do this, despite all odds, then their purpose would actually come to reality and they would enhance the game experience, letting people experiment with different kind of combinations in the late game. Also there needs to me many more paths, only two kinda makes the whole combination idea pretty pointless.
Alternatively, restrict spellments to PvE only.
SUMMARY JUDGEMENT:
I liked the changes to the crit system, restricting more previously necessary cards and enchanted TCs outside of PvP , and turn-based system, those are a good start, but won't make a difference if the above three points stand unchanged. The main problem in the monetization is the gambling in the form of lootboxes, which is like the worst kind of cheap mobile game experience. The game has beautiful world and animations and the basic idea behind the combat is simple, yet interesting, and it can lead to very interesting situations. Nerffing and buffing spells/items won't make a difference while the OP-items/spells from lootboxes remain as KI's main interest.
Also for anyone to be able to experience something other than 1v1 ranked PvP, the first step needs to be removing the barrier of entry, or creating an option for permanent unlocking at least.
I have very little hope for them suddenly changing their 12-year course and giving up lootbox-p2w from PvP, but this has been quite a year so I guess nothing is impossible. Here's for hoping.
